ob Title: General Counsel
Location: Taipei, Taiwan
Our client is one of the world’s leading international Banks running 3900+ offices globally.
‧ Manage all legal matters for country which may be complex and have legal, financial and reputational impact. Assist local senior management in managing legal and reputational risk.
‧ Responsible for integrated legal support across Taiwan and business groups; accountable for setting and achieving local legal initiatives and contributing to achieving the regional and Global Legal Annual Plan.
‧ Manage Legal Team, accountable for all internal department costs and external legal spend.
‧ Direct and agree panel counsel selection and usage.
‧ To provide legal advice to line management and control functions in the ordinary course of business;
‧ To draft, review and negotiate transaction documentation;
‧ To develop bank documentation in compliance with local regulations;
‧ To assist development of new products and services and provide legality analysis;
‧ Implement strategic legal policies, and set local policies that ensure that the company’s exposure to legal and regulatory risk is managed in a commercially sensitive and practical manner;
‧ To manage litigations filed or threatened against the company;
‧ To coordinate and manage M&A related legal matters that may impact the company;
‧ To support senior management in the execution of business and operational strategies and initiatives;
‧ To interface with external parties (including regulators and self-regulatory organizations where appropriate) in relation to legal and regulatory matters or lobbying efforts.
‧ To service internal clients (customer groups, control functions, operations and CEO) and provide assistance and guidance in their management of overall legal risks.
‧ To ensure timely and proper reporting and escalation of material legal issues/litigations to relevant stakeholders. To recommend selection and supervise outside counsel as appropriate.
‧ To ensure positive relationships are maintained with panel law firms and other appropriate external parties.
‧ To manage the Legal function in Taiwan in the capacity of Area General Counsel.
‧ To ensure there is proper management and control of the Legal Department and that effective target setting and performance management is implemented for all staff in the Legal Team
‧ To ensure that all significant projects initiated by HSBC TWN have appropriate legal resource allocated and that key deadlines are met.
‧ To maintain and develop positive and professional working relationships with senior business managers in Taiwan and the Global Legal function.
‧ To manage legal risk, including its identification, assessment, mitigation and control, and reporting
‧ To monitor the implementation of Legal risk management policies and controls;
‧ To monitor the resourcing, costs and spend of the legal team;
‧ To assess and take ownership of the operational and cost efficiencies of the legal team;
‧ To maintain internal control standards, including the timely implementation of internal and external audit points together with any issues raised by external auditors;
‧ To be alert to the operational risk scenario associated with the role and to ensure that all actions during employment take account of the likelihood of operational risk occurring
‧ Licensed Attorney admitted to practice in Taiwan with not less than 10 years post-qualification experience
‧ Broad working experiences in legal field (practice in legal department of financial industries, such as banking, securities, insurance, SITE etc., is a plus)
‧ Wide knowledge and experiences of banking, corporate and securities Taiwan law concepts and a working knowledge of the laws in the major jurisdictions in which the company operates
‧ Ability to lead and motivate team, employing appropriate management styles with a keen sensitivity to the local culture
‧ Experience in Compliance and/or Risk is an advantage
‧ Highly developed communication and influencing skills set
‧ Fluent in both Mandarin and English
‧ Law degree in bachelor/ master degree
