Job Description 职责描述

1Company Management 公司管理

  • Execute approved Resolution, Strategic Business Direction and Plans approved by the Board 执行董事会批准的决议、战略性商业方向和计划
  • Coordinate the relationship between Shareholders, periodically organize the Board Meeting to discuss and decide the important issues 协调各股东的关系,对重大决策,定期组织召开董事会进行磋商和决议。
  • Manage day-to-day business and all related administrative issues 管理日常业务和所有相关行政事宜

2Finance Management 财务管理

  • Jointly with the Chief Financial Officer and the Chief Technical Officer to prepare and submit Green Fuel Project Proposal to the Board for approval 与首席财务官和首席技术官共同制订绿色燃料项目提案并提交董事会批准
  • Jointly with the Chief Financial Officer, prepare and submit to the Board for review and approval (i) the management and financial statements, (ii) the annual financial plan, the annual financial reports, income and expenditure accounts, profit and loss accounts, all must be in accordance with the requirements for such financial statements and accounts set out in related documents, as well as in line with the reporting requirements as notified by GRAM-ZD and ALBA International from time to time 与首席财务官一起,编制并向董事会提交以下文件供其审阅和批准:(i) 管理和财务报表,(ii) 年度 务计划、年度财务报告、收支账目、损益账目,以上文件均应按照相关规定中关于该等财务报表和账 目的要求以及广晟-中德和欧绿保国际不时告知的报告要求编制

3Policy/Regulations Management 立章建制

  • Prepare and implement the business plans, budgets, production plans, personnel and staffing plans, procurement and sales plans and other plans and programs and any revisions thereto, unless there is a material deviation from the relevant plans or budget approved and adopted by the Board 编制并执行商业计划、预算、生产计划、人事和员工计划、采购和销售计划以及其它计划和方案及其 订案,但严重背离董事会批准和通过的相关计划或预算的除外
  • Set up the management structure as approved by the Board, hiring and dismissing personnel who is not the management member 经董事会批准建立管理机构,聘用并罢免非管理层成员的人员
  • Prepare any internal regulations of the Company, including any amendments thereto, and supervise their implementation, subject to their prior approval by the Board if such approval is required under this Agreement or the Amended Articles 在取得董事会事先批准的前提下(如本协议或经修订的章程细则要求取得该批),制定公司的任何 内部规章,包括其任何修订,并监督该等规章的执行
  • Decide incentive systems with regard to especially but not limited to the Company business development activities 决定特别(但不限于)与公司的业务开发活动有关的激励制度

4Related Management 相关管理

  • Proactively coordinate with different levels of the government relation, as well as potential business partners to develop and make company new business plan 积极协调各级政府关系,以及潜在合作伙伴关系,为公司的新业务拓展制定规划。
  • Promptly notify the Shareholders and the Board about all matters coming to his notice which may materially affect the Company’s business, premises, or property 时通知各股东和董事会其注意到的可能严重影响公司业务、场所或财产的一切事项
  • Provide the Shareholders and the Board with any information and access that may be requested and handle other matters entrusted or requested by them 向各股东和董事会提供其可能要求的其它信息和权限以及处理董事会委托或要求的其它事项

Qualifications 职资格

Education Requirement 历要求:

  • Master or above 硕士 及以上 学历
  • Specialized Requirement 专业要求:
  • Environment Engineering, Enterprise Management, MBA, Administrative Management and related specialties 环境工程 、企 管理、 工商管 理、行 政管理 等相关 专业 硕士以上

Experience Requirement 经验要求

  • 10 years above enterprise management and at least 5 years enterprise total management experiences 年以 上企业 管理工作 经验, 至少 5 年 以 上企业全 面管理 工作经 验;
  • Top management working experiences and rich management skills 从事从 事过高 层管理工 作,具有 丰富的 管理经 验和较 高的管 理水平

Knowledge Requirement 识要求

  • Familiar with environment related policies and with advanced management notions 熟悉环保 领域的 有关政 策、 具有先 的管理 理念;
  • Familiar with company business and operation process 熟悉企 业务和运 流程
  • Master project investment management, finance management and working process 掌握 项目投资管理、财务管理和工作流程;
  • Familiar with China, Hongkong and relevant countries/areas related policies and laws 悉中国、香港和有关国家和地区的相关政策和法律;
  • Familiar with company professional knowledge 熟悉公司业务知识
